1. Acceptance of Terms

By accessing or using the SharedVault web application ("Service", "Platform"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms", "Agreement"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and SharedVault Pty Ltd ("SharedVault", "we", "us", or "our"). Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

SharedVault is a secure secrets management platform that allows users to store, organize, and share encrypted secrets, passwords, files, and other sensitive information in organized groups called "silos". The Service provides multi-layer encryption and security features designed to protect your data.

3. License Grant

Subject to your compliance with these Terms, SharedVault grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your personal or business purposes, in accordance with these Terms and applicable laws.

3.1. End User License Agreement

This End User License Agreement ("EULA") is part of these Terms of Service and governs your use of the SharedVault software and services.

License Scope: The license granted under this EULA is limited to the use of the Service as provided by SharedVault. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
  • Rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Service or your rights under this EULA
  • Use the Service for any purpose other than as expressly permitted by these Terms
  • Attempt to gain unauthorized access to the Service or its related systems or networks

Intellectual Property: All rights, title, and interest in and to the Service, including all intellectual property rights, remain with SharedVault and its licensors. This EULA does not grant you any rights to use SharedVault's trademarks, service marks, logos, or other brand features.

Termination: This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Service and destroy all copies of any materials related to the Service in your possession.

Updates and Modifications: SharedVault may, at its sole discretion, provide updates, modifications, or enhancements to the Service. These updates may be provided automatically or require your acceptance. Continued use of the Service after such updates constitutes your acceptance of the updated EULA.

4. Trial Period and Disclaimer of Liability

During any trial period, SharedVault assumes ZERO responsibility for any data loss, data corruption, or issues arising from data uploaded to the Platform. The Service is provided "as is" and "as available" during the trial period without any warranties, express or implied.

Your use of the Platform during the trial period is at your own risk. SharedVault disclaims all liability for any damages, losses, or harm resulting from your use of the Service during the trial period, including but not limited to:

  • Loss of data or information
  • Corruption of data or information
  • Inability to access your data
  • Security breaches or unauthorized access
  • Service interruptions or downtime

You are solely responsible for maintaining backups of any data you upload to the Platform during the trial period.

5. Limitation of Liability and Disclaimer

The use of the Platform does not imply any kind of legal responsibility on SharedVault for the data you store, manage, or share through the Platform. To the maximum extent permitted by applicable law:

  • SharedVault shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • SharedVault shall not be liable for any loss of profits, revenues, data, use, goodwill, or other intangible losses
  • SharedVault shall not be liable for any damages resulting from your use or inability to use the Service
  • SharedVault makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement

You acknowledge and agree that SharedVault is not responsible for the content, accuracy, or security of any data you upload, store, or share through the Platform. You are solely responsible for ensuring the legality, accuracy, and security of your data.

6. Governing Law and Jurisdiction

SharedVault is based in Australia. These Terms and your use of the Platform are governed by the laws of the State of New South Wales, Australia, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

7. Government Access and Encryption Keys

Under Australian law, SharedVault may be required to share encryption keys, decryption keys, or other information with government agencies upon lawful request from these agencies.

By using the Service, you acknowledge and consent to the potential disclosure of encryption keys and related information to Australian government agencies, including but not limited to:

  • Australian Federal Police (AFP)
  • Australian Security Intelligence Organisation (ASIO)
  • Australian Signals Directorate (ASD)
  • Other law enforcement and intelligence agencies as required by law

Such disclosures may occur under various Australian laws, including but not limited to the Telecommunications and Other Legislation Amendment (Assistance and Access) Act 2018, the Telecommunications (Interception and Access) Act 1979, and other applicable legislation.

You understand and agree that SharedVault will comply with all lawful requests from government agencies, and you waive any claims against SharedVault arising from such compliance.

8. Prohibited Uses

You are strictly prohibited from using the Platform for any illegal use or with intent to cause harm to any entity across the globe. Prohibited uses include, but are not limited to:

  • Any activity that violates any applicable local, state, national, or international law or regulation
  • Storing, sharing, or transmitting illegal content, including but not limited to content related to terrorism, child exploitation, human trafficking, or other criminal activities
  • Using the Service to facilitate, plan, or execute any illegal activities
  • Using the Service with intent to cause harm, including but not limited to cyberattacks, fraud, identity theft, or harassment
  • Violating the rights of others, including intellectual property rights, privacy rights, or other legal rights
  • Distributing malware, viruses, or other harmful code
  • Engaging in any activity that could damage, disable, or impair the Service or interfere with other users' access to the Service
  • Attempting to gain unauthorized access to the Service, other users' accounts, or computer systems
  • Reverse engineering, decompiling, or disassembling any part of the Service
  • Using the Service to store or transmit content that infringes on the rights of third parties

SharedVault reserves the right to investigate and take appropriate legal action against anyone who violates this provision, including but not limited to reporting such activities to law enforcement agencies and terminating your access to the Service.

9. User Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and authentication devices
  • All activities that occur under your account
  • Ensuring that your use of the Service complies with all applicable laws and regulations
  • The accuracy, legality, and security of all data you upload, store, or share through the Platform
  • Backing up your data and maintaining copies of important information
  • Protecting your devices and ensuring they are secure and free from malware

10. Account Security

You are responsible for maintaining the security of your account. You must immediately notify SharedVault of any unauthorized use of your account or any other breach of security. SharedVault will not be liable for any losses or damages arising from unauthorized access to your account.

11. Intellectual Property

The Service, including all content, features, functionality, and technology, is owned by SharedVault and is protected by Australian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you upload to the Platform. However, by uploading data to the Platform, you grant SharedVault a limited license to store, process, and transmit your data as necessary to provide the Service.

12. Service Availability

SharedVault does not guarantee that the Service will be available at all times or that it will be free from errors, interruptions, or security vulnerabilities. The Service may be unavailable due to maintenance, updates, technical issues, or other reasons beyond our control.

13. Termination

SharedVault reserves the right to suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Illegal or prohibited use of the Service
  • Non-payment of fees (for paid plans)
  • Extended periods of inactivity
  • Any other reason we deem necessary to protect the Service, other users, or our interests

Upon termination, your right to use the Service will immediately cease. SharedVault may delete your account and data, and we are not obligated to provide you with access to your data after termination.

14. Changes to Terms

SharedVault reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" at the top of these Terms or by other means we deem appropriate. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

15. Indemnification

You agree to indemnify, defend, and hold harmless SharedVault, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any rights of another party
  • Any content you upload, store, or share through the Platform

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SharedVault regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.

18. Waiver

The failure of SharedVault to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

20. Acknowledgment

By using the SharedVault Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use the Service.
